Welcome to www.pharmadentdirect.co.uk (the "Site"). These Terms and Conditions (the "Terms") govern the use of our Site and the purchase of any products ("Products") from it. By accessing the Site or placing an order, you agree to be bound by these Terms. Please read them carefully and keep a copy for future reference. If you have any questions, contact our Customer Service team.

These Terms may be supplemented by additional policies such as our Privacy Policy, Delivery Information, and Returns Policy, which are all incorporated by reference.

Contracts and communications will be conducted in English unless explicitly agreed otherwise.

1.1 Placing an Order

To place an order, follow the on-screen prompts to add Products to your cart and proceed to checkout. You will have the opportunity to review and amend your order before completing payment. By clicking the "Pay Now" button, you submit your offer to purchase the selected Products.

1.2 Acknowledgement of Order

Once an order is submitted, you will receive an email acknowledging receipt. This email includes an order number and summary but does not constitute acceptance of your order.

1.3 Acceptance of Order

Your order is accepted when we send you an email confirming that the Products have been dispatched ("Dispatch Confirmation"). The contract is formed only for the Products listed in this confirmation.

1.4 Order Rejection

We reserve the right to reject orders for any reason, including but not limited to:

(a) Unavailability of stock.
(b) Payment authorisation issues.

2.1 Delivery Options

We offer various delivery options, including standard and express. These are detailed on the Delivery Information page. Products will be delivered to the address specified during checkout.

2.2 Delivery Scope

Deliveries are limited to the geographical regions stated on the Site. Items within a single order cannot be delivered to multiple addresses.

2.3 Responsibility for Delivery

Delivery is to your door only; we do not provide additional handling or positioning services. Ensure someone is available to receive and inspect your delivery.

3.1 Risk Transfer

Responsibility for Products passes to you upon delivery. We are not liable for loss or damage after delivery, except for faulty or misdelivered Products.

3.2 Ownership Transfer

Ownership of Products transfers when:

(a) They are delivered to you, and
(b) We have received full payment, including applicable delivery charges.

4.1 Pricing

Prices are listed on the Site and include VAT but exclude delivery charges, which are displayed during checkout.

4.2 Payment Methods

Payment is required in full at the time of ordering. Accepted payment methods include most major credit and debit cards.

4.3 Pricing Errors

In the event of a pricing error, we may either:

(a) Contact you to confirm your preference before dispatch, or
(b) Cancel your order and notify you.

4.4 Unauthorised Transactions

If payment authorisation is declined, we cannot process your order.

5.1 Cancellations

Orders can be cancelled before delivery or within 30 days of receipt. To cancel, follow our Returns Policy.

5.2 Excluded Items

Certain Products cannot be returned for health, hygiene, or safety reasons, unless faulty or misdelivered.

5.3 Returning Items

If you cancel after dispatch, you must return the Products at your cost within 30 days. Products must be in original packaging, unused, and in resalable condition.

5.4 Refunds

Refunds are processed to the original payment method within 7 days of receiving the returned Products. If you purchased a gift, refunds are issued to the original purchaser.

5.5 Faulty or Incorrect Products

Faulty or misdelivered Products can be returned for a refund or exchange under your statutory rights.

6.1 Limitations

We are not liable for:

  • Indirect or unforeseeable losses.
  • Business losses, such as lost profits or contracts.

6.2 Exclusions

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or other statutory protections.

We are not liable for delays or failures resulting from circumstances beyond our reasonable control, including natural disasters, strikes, or transportation disruptions.

9.1 Severability

If any provision of these Terms is found invalid, the remaining Terms will remain in effect.

9.2 Amendments

We reserve the right to revise these Terms without prior notice. Changes do not affect pre-existing orders.

9.3 Jurisdiction

These Terms are governed by English law. Disputes will be resolved in English courts unless otherwise required by local laws.

9.4 Company Information

The Site is operated by Merit Wholesale Ltd, registered in England and Wales under company number 13841197, VAT registration 416050828.

10.1 Promotional codes are applied during checkout and are valid only once per customer.

10.2 Codes cannot be combined or used for excluded items such as gift cards or prescription Products.

10.3 Expired codes are non-redeemable.

10.4 Promotional offers can be withdrawn at any time without notice.

11.1 The redemption rate for loyalty reward points is subject to change at any time and without prior notice.

11.2 Customers acknowledge that information regarding loyalty reward points may contain inaccuracies or errors. We expressly exclude liability for such inaccuracies or errors to the fullest extent permitted by law.

11.3 Expiry dates for loyalty reward points may also be amended without prior notice. Customers are responsible for redeeming points within the applicable timeframe.

11.4 Loyalty reward points are not applicable to offline sales or transactions made outside the Site.

12.1 Call Recording

We reserve the right to record all telephone calls to or from PharmaDent Direct for training purposes and to resolve any contractual disputes.

12.2 Veterinary Exclusions

Medicinal products offered by PharmaDent Direct are not available for use by veterinarians or for administration to animals.

13.1 Recall Procedures

Recalls for medicinal products are governed by the product license holder. Goods can only be returned according to the specific instructions issued for each recall.

13.2 Returns Process

  • Goods must be returned with a valid Returns Note indicating the recall type and any applicable batch numbers.
  • The Returns Note must exclusively relate to the recalled products; it should not include other items.
  • Returns must be packed separately and clearly marked as associated with a product or batch recall.

13.3 Credits and Authorisations

Credits for recalled goods will only be issued upon authorisation by the Manufacturer and within a timeframe specified by them.
